These Terms and Conditions govern the provision of all services by Treanalytics Pty Ltd. In the absence of a separate signed contract, these Terms and Conditions shall prevail. Where a formal agreement exists, these Terms shall supplement such agreement unless explicitly overridden

1. Engagement and Scope of Work

  • All services offered by Treanalytics are subject to a mutually agreed-upon Quote and Terms of Reference (ToR).
  • Work will commence only once the client has accepted the Quote and ToR in writing via email or signed agreement.
  • Any deviation from the agreed scope of work may result in revised pricing, adjusted deliverables, and/or extended timelines.

2. Payment Terms

  • A 50% non-refundable deposit is required prior to project commencement and must reflect in Treanalytics’ bank account.
  • The remaining 50% is payable on the date of final deliverable submission and must reflect before handover.
  • Accepted payment methods include EFT or as otherwise agreed in writing. Proof of payment is required.
  • Late payments may incur a 5% penalty after 5 business days and may result in work being paused or withheld.

3. Revisions and Amendments

  • Clients are entitled to one to two rounds of minor revisions, depending on the project type and scope.
  • Requests for revisions beyond the agreed scope or after sign-off may incur additional charges and impact delivery timelines.
  • Revisions must be requested within 5 business days of deliverable receipt, failing which the work will be deemed accepted.

4. Turnaround Time and Client Responsibilities

  • Treanalytics adheres to agreed timelines, conditional upon timely client input, data, and approvals.
  • Delays caused by the client, including lack of response or incomplete information, may shift delivery schedules.
  • Clients are solely responsible for the accuracy and legality of the content and data they provide.

5. Intellectual Property and Usage

  • All tools, frameworks, methods, and draft materials developed by Treanalytics remain its intellectual property unless agreed otherwise in writing.
  • Final deliverables become the client’s property upon full payment, excluding any proprietary tools or templates used.
  • Clients may not republish, sell, or reproduce any material without written permission unless otherwise agreed.

6. Confidentiality

  • Both parties agree to maintain the confidentiality of all non-public, sensitive, or proprietary information shared.
  • This obligation remains valid beyond the termination of the engagement, unless release is legally required.

7. Data Privacy and Compliance

  • Treanalytics complies with South Africa’s POPIA and ensures data security through best-practice protocols.
  • Client data is handled confidentially and is not shared with third parties without consent, unless required by law.

8. Delivery and Ownership of Work

  • Final work is released only after full payment has been received.
  • Until full payment is made, Treanalytics retains ownership of all deliverables.
  • Treanalytics may retain anonymised project elements for internal use, portfolio, or training purposes unless objected to in writing.

9. Research Ethics and Boundaries

  • Treanalytics does not conduct research on behalf of students or write dissertations or theses.
  • Our role is strictly advisory—supporting students in aligning their work with academic standards and ethical guidelines.
  • We do not guarantee academic approval or specific results from academic bodies or institutions.

10. Marketing and Strategy Services Disclaimer

  • Treanalytics does not guarantee increases in traffic, engagement, conversion rates or sales as outcomes of digital marketing services.
  • Clients must ensure legal compliance of any content or offers promoted via marketing campaigns.
  • Treanalytics is not liable for third-party platform decisions (e.g., ad rejections, bans, algorithm changes).

11. Limitation of Liability

  • Treanalytics shall not be liable for any indirect, incidental, or consequential damages resulting from service use or project outcomes.
  • All advice and insights are provided in good faith and based on available information at the time.

12. Termination of Agreement

  • Either party may terminate the agreement with 7 days’ written notice in cases of material breach.
  • Upon termination, all work completed up to that date will be invoiced and payable.
  • No refunds will be issued for services rendered or partially completed work unless agreed otherwise.

13. Dispute Resolution

  • Any disputes will first be addressed through direct negotiation between the parties.
  • If unresolved within 14 days, the matter may be referred to a neutral mediator or arbitrator based in South Africa.
  • South African law will govern all disputes and legal matters.

14. Force Majeure

  • Treanalytics shall not be held liable for failure or delay in performance due to events beyond its control, including acts of God, technical failure, or political instability.

15. Portfolio and Publicity

  • With client permission, Treanalytics may showcase anonymised versions of the project for marketing or training purposes.
  • Clients may request exclusion in writing at the start of the engagement.

16. Retainer Agreements (If Applicable)

  • Retainer fees are payable at the start of each month and are non-refundable.
  • Unused hours do not roll over unless explicitly agreed in writing.
  • Retainer clients are prioritised in delivery schedules and support allocation.

17. Acceptance

  • By accepting the Quote or using our services, clients agree to abide by these Terms and Conditions.
  • Where a signed contract exists, its terms prevail unless these Terms provide additional relevant guidance.
